InheritedData Licensing Agreement

Parties:

- Client: Subscriber

- Provider: Realty Mitigation Services, LLC (d/b/a InheritedData), a Florida Limited Liability Company with offices in Orlando, FL.

1. Product & Permitted Use

Provided Product consists of proprietary, real-time estate data derived from verified death records. The dataset includes:
- Deceased Information: First Name, Middle Initial, Last Name, Date of Death, City, and State.
- Relative Information: First Name, Last Name, Phone Numbers, Email Addresses, Mailing Address.
- Property Details: Parcel Number, Owner/Co-owner Names, Subject Address, Loan Details, Lender Info, Purchase Price/Date, Assessed and Market Values, Square Footage, and Lot Size.

Permitted Use includes applications in Real Estate Investing, Sales, Inheritance Services, and Legal Practices. Client is prohibited from reselling, transferring, or publicly sharing the Provided Product.

2. License

Provider grants the Client a non-transferable, exclusive license for use of the Provided Product within a designated county. This license is industry-specific and applies only to approved uses. Provider will not resell these same records to others in the same county. Client use may be audited by Provider to ensure compliance with this Agreement.

3. Use Restrictions

Client agrees not to use the Provided Product beyond the approved scope, either directly or indirectly. Data may not be used for death audit services, data aggregation, or resale. Use must comply with all local, state, and federal regulations. These restrictions remain in effect even after termination of this Agreement.

4. Data Delivery

Once the initial monthly fee is received, Provider will deliver access credentials to the InheritedDataPRO platform (inheriteddatapro.app). Data will be updated weekly and delivered in a mutually agreed bulk format.

5. Indemnity

Client shall indemnify and hold Provider harmless from any legal claims, damages, or costs arising from Client’s misuse or unauthorized use of the Provided Product, including violations of law or third-party rights.

6. Fees & Subscription Terms

Client agrees to pay a monthly fee as outlined in the Provider’s invoice. Payments are made via the Provider’s online portal. Pricing remains fixed for the duration of the initial agreement term (12 months). Subscription renews monthly and can be canceled with 30 days’ email notice to support@inheriteddata.com.

- No refunds are provided.
- One (1) account pause per year is allowed, skipping one month of billing. Service automatically resumes the next month.
- Upon cancellation, the Client forfeits all licenses and platform access but may reapply depending on availability.

The terms of this Agreement and the Provided Product are considered Confidential Information and may not be disclosed to third parties or used outside of the Permitted Use.

7. Warranties

The Provided Product is delivered “as is” without warranties of any kind. Provider disclaims all implied warranties including merchantability and fitness for a particular purpose.

8. Limitation Of Liability

Neither party shall be liable for delays or failure to perform due to causes beyond their reasonable control, including but not limited to natural disasters, utility failures, strikes, civil unrest, or governmental actions.
